Biography
Senior corporate finance lawyer with over 25-years’ experience of setting up, advising and managing a wide variety of investment funds, private equity houses and family offices, including advising on regulatory matters involving the UK Financial Conduct Authority (‘FCA’).
Legal advisor to public and private companies on M&A deals both in UK and Europe; direct investment; management buy-outs; IPOs and secondary offerings; London Stock Exchange compliance; option agreements; general corporate governance issues; FCA regulation; capital markets, restructuring and reorganization. Managing Partner of boutique UK corporate law firm, Duthie & Co LLP since 2014. Formerly a senior partner of leading international law firm Withers LLP, as well as senior in-house counsel for Diageo PLC.
Relevant experience includes advising UK, Irish and BVI funds; acting as General Partner of several LP funds; 10 years advising regulated businesses in the UK; acting as Trustee for a large UK Employee Ownership Trust; advising on the restructuring of the Doughty Hanson private equity group of funds. Advising on creation, marketing and management of listed bonds and structured financial products in the UK, Ireland, Germany and UAE.
Academic qualifications: holder of three degrees at undergraduate and postgraduate level: Bachelor of Civil Laws (1st Class Honours), Balliol College, Oxford; Bachelor of Laws (1st Class Honours) Australian National University, Canberra; Bachelor of Economics, Australian National University, Canberra.
